1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the CascadeCopier website, desktop application software, and related cloud services (including authentication, licensing, subscription, and billing) (collectively, the "Service") provided by Cascade Financial Technologies Inc. ("CascadeCopier", "we", "us", "our").
By creating an account, purchasing a license or subscription, downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, together with the CascadeCopier Privacy Policy, CFTC Risk Disclosure, and the End User License Agreement ("EULA"), each of which is incorporated into these Terms by reference.
If you do not agree to these Terms, you must not create an account, purchase a license, or use the Service.
2. Definitions
- "Software" means the CascadeCopier native compiled desktop application (C++/Rust binary), including all components, connectors, and documentation distributed with it.
- "Service" means the Software together with the CascadeCopier cloud authentication and licensing infrastructure.
- "Master Account" means the trading account from which trading events originate for replication.
- "Target Account" means a follower trading account to which you configure the Software to synchronize trading events.
- "Trading Events" means order and position lifecycle events supported by the Software, including order placement, cancel, modify, fill, stop loss, take profit, flatten, and reverse.
- "Authorized Account" means a trading account for which you are legally and contractually authorized to place and manage orders.
- "License" means the right to use the Software granted to you under the EULA.
3. Nature of the Service
CascadeCopier is a local-first order synchronization and risk utility. It runs directly on your local workstation or private VPS, observes trading events that you generate on a Master Account through your own trading platform (e.g., Rithmic R-API, NinjaTrader 8, Tradovate), and replicates the corresponding actions you have configured on your Target Accounts.
The Service:
- Synchronizes trading events strictly in the direction Master Account → Target Account(s);
- Does not create Master Orders or autonomous trading decisions;
- Does not generate trading strategies, trading signals, or investment advice;
- Does not hold, manage, or custody customer funds; and
- Does not own, hold, or custody customer trading accounts.
The Service is strictly an execution tool for your personal trading decisions. You remain solely responsible for all trading configurations, multiplier sizing, risk rules, and financial outcomes.
4. Eligibility & Account Security
4.1 Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and possess full legal capacity to enter into a binding agreement to use the Service.
4.2 Accounts
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activity that occurs under your account; and
- Notifying us promptly at [email protected] of any unauthorized account access.
4.3 License Quotas & Workstations
Each active subscription tier grants authorization for a specific number of concurrent desktop workstations and account bindings as defined in your chosen plan. You may unbind and transfer licenses between authorized machines via your Trader Portal.
5. Subscriptions, Payments & 7-Day Guarantee
5.1 Billing & Renewals
Paid subscriptions are billed on a recurring monthly or annual basis via Stripe. You may cancel recurring renewals at any time prior to the billing date to prevent future charges.
5.2 7-Day Money-Back Guarantee
Every first-time purchaser of a CascadeCopier subscription plan is entitled to an unconditional 100% full refund within seven (7) calendar days of initial purchase in accordance with our Refund Policy.
6. Prohibited Activities
You agree not to:
- Reverse engineer, decompile, disassemble, or derive the source code of the Software;
- Distribute, lease, rent, sublicense, or share your software credentials with unauthorized third parties;
- Use the Service to violate any applicable financial laws, broker agreements, or prop firm contractual terms; or
- Interfere with or disrupt the integrity or performance of the licensing infrastructure.
7. Disclaimer of Warranties & Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASCADE FINANCIAL TECHNOLOGIES INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
IN NO EVENT SHALL CASCADE FINANCIAL TECHNOLOGIES INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, SLIPPAGE, MISSED EXECUTIONS, LOSS OF PROFITS, OR DATA LOSS ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE.
